Mergers, acquisitions and divestitures

As recently as a decade ago, little consideration was given to the information privacy and data security issues embedded in business mergers, acquisitions and divestitures. Now, selling companies must be concerned about how their business decisions affect the security of customer and client data, and purchasing companies must conduct due diligence and plan for contingencies related to the transfer of such data. Merging companies face these issues and more. Our privacy and data security attorneys work to ensure that data security and information privacy issues don’t derail or diminish the value of business deals, such as mergers and acquisitions.

Our experience includes:

  • Working closely with our Mergers and Acquisition Practice Group, we identify and resolve the information privacy and data security issues inherent in today’s business transactions.
  • We evaluate representations and warranties in contracts for the sale of companies and assets and recommend allocation of risk and appropriate indemnities.
  • We have worked with clients to buy and sell data inventories, create enforceable data-sharing agreements and procure data security insurance and indemnification clauses. Our attorneys also work to ensure that data security and information privacy issues don’t derail or diminish the value of business deals, such as mergers and acquisitions.
