Megan is a senior associate in the firm’s Corporate Department who counsels clients on a wide range of corporate and business matters, including mergers and acquisitions, business development and operation, corporate securities, real estate, commercial and retail leasing, and wireless telecommunications.
Megan assists public and private companies in connection with acquisitions and dispositions of company securities and assets.
Megan has significant experience advising public and private companies in structuring, negotiating and drafting mergers, acquisitions, dispositions, joint ventures and other business transactions. She leads the legal due diligence investigation and analysis for both buyers and sellers in a variety of industries. Megan also advises public companies on corporate governance matters under NYSE, NASDAQ and AMEX listing standards, securities law compliance, 1934 Act reporting and Sarbanes-Oxley compliance. She assists clients in securities offerings and has experiencing preparing private placement memoranda, securities agreements and other offering materials.
As real estate and retail leasing counsel, Megan structures, negotiates and drafts real estate purchase agreements and lease agreements to help clients advance their strategic goals. Prior to joining the firm, Megan served as in-house counsel to DSW Inc., a leading shoe retailer, where she drafted retail leases and performed legal due diligence in connection with the company’s acquisition of a Canadian footwear retailer. While at the firm, Megan has worked in house at another Columbus-based public retail company where she assisted in the drafting and negotiation of leases for the company’s various brands.
Megan’s additional experiences include guiding local startup companies in the entity formation stage and beyond as they grow. She also advises wireless telecommunications carriers contractual matters related to new cell site deployment and wireless technologies around the United States.
Megan serves as an adjunct professor for the Transactional Practice fall semester course at The Ohio State University Moritz College of Law. In this role, she instructs students on the acquisition process, from the letter of intent stage through closing, and periodically meets with and advises students on general transactional drafting issues and key M&A concepts.
