Megan is an associate in the firm’s Corporate Department practicing in the areas of mergers and acquisitions, corporate securities and real estate. She has significant experience in transactional law and has worked on projects involving corporate governance, securities, legal disclosures, real estate, commercial leasing and employment issues, among others.

Megan assists public and private companies in connection with acquisitions and dispositions of company securities and assets. She coordinates the legal due diligence investigation and analysis for both buyers and sellers, and assists in the negotiation and drafting of transactional documents.

Additionally, Megan advises corporate clients on securities and corporate governance compliance matters, including director and officer fiduciary duties. She assists clients in securities offerings and drafts private placement memoranda, securities agreements and other offering materials. She also has considerable experience drafting operating agreements and other organizational documents for startup companies and other newly formed entities.

Before joining Porter Wright, she served as in-house counsel at DSW Inc., a specialty branded footwear retailer, where she provided counsel on a range of corporate legal issues. While at DSW, she drafted and assisted in the preparation of the company’s corporate governance documents and legal disclosures, including the company’s annual proxy statement. Megan assisted the company in effectuating a stock split, as well as in its acquisition of an interest in a foreign corporation.

Previously, Megan was a legal intern at Columbus Fair Auto Auction Inc., where she researched, drafted and reviewed business contracts and regulatory compliance policies.
