Overview
Megan counsels clients on a wide range of corporate and business matters, including mergers and acquisitions, corporate governance, securities offerings, executive compensation, and state and federal securities law compliance and reporting obligations.
Megan advises public and private companies in structuring, negotiating and drafting mergers, acquisitions, dispositions on both the buy and sell side, joint ventures and other business transactions. Megan also helps public companies manage risk and comply with federal and state securities laws. She advises public companies on corporate governance matters under NYSE and NASDAQ listing standards, securities law compliance, 1933 and 1934 Act reporting and Sarbanes-Oxley compliance. She assists clients in securities offerings and has experience preparing shelf registration statements, private placement memoranda, securities agreements and other offering materials.
Megan also helps emerging, high-growth companies raise capital by providing advice on entity formation, capital structure and corporate finance issues, including private equity investment, strategic joint ventures, private placements, shareholder agreements, buy-sell agreements, voting agreements, investor rights and equity compensation. Megan also counsels her clients on general corporate law matters; including consulting arrangements, non-competition, proprietary rights, supply distribution and vendor agreements.
With her real estate and retail leasing counsel background, Megan also has experience negotiating and drafting real estate purchase agreements and commercial lease agreements to help clients advance their strategic goals. While at the firm, Megan also worked in-house at a Columbus-based public retail company where she assisted in the drafting and negotiation of leases and related agreements for the company’s various brands. She also advises wireless telecommunications carriers on contractual matters related to new cell site deployment and wireless technologies around the United States.
Additionally, Megan previously served as an adjunct professor for the Transactional Practice course at The Ohio State University Moritz College of Law. In this role, she instructed students on the acquisition process, from the letter of intent stage through closing and periodically met with and advised students on general transactional drafting issues and key M&A concepts.
Prior to joining the firm, Megan served as in-house counsel to Designer Brands Inc., formerly known as DSW Inc., a leading shoe retailer, where she handled corporate governance matters, prepared board and committee materials and meeting minutes, handled SEC filings and NYSE reporting requirements, and drafted retail leases and related agreements.
