Overview

Jacob (Jake) brings extensive experience representing both public and private companies in complex corporate transactions, including mergers, acquisitions, restructurings, joint ventures, securities offerings and financings. He also counsels emerging companies on formation, governance and capital raising. His practice spans a broad range of industries including energy, technology, artificial intelligence, telecommunications and manufacturing.

In addition to transactional work, Jake regularly advises management teams and shareholders, acting as outside general counsel to businesses across the contract lifecycle. He provides strategic counsel on commercial matters, contract negotiation and drafting and helps clients navigate high-stakes transactions and business-critical agreements.

Prior to his legal career, Jake served in various roles at the U.S. Department of Homeland Security, including advisor to the undersecretary for the National Protection Programs Directorate and advisor to the chief of staff of the Office of the Deputy Secretary. Jake was a member of the U.S. negotiation team for the United States-European Union Passenger Name Record Agreement and served on the staff of the Homeland Security Advisory Council's Task Force on CyberSkills.
