Brian focuses his practice on a range of corporate and business matters including corporate governance, mergers and acquisitions, corporate securities, business development and operation, and private fund investment.
Brian has experience in assisting private and public companies with acquisitions and dispositions of securities and assets. He also has experience in forming business entities and drafting initial documents for corporate and limited liability entities as well assisting larger corporations conduct internal reorganizations.
In counseling clients on securities compliance, Brian also has significant experience advising public companies on corporate governance matters under NYSE, NASDAQ and NYSE American listing standards, general securities law compliance and 1934 Act reporting. He has assisted clients in securities offerings and private placements including the creation of hedge funds and other investment funds, and preparing private placement memoranda and other offering materials.
Brian is also skilled at drafting various types of contracts and agreements, including third-party master services agreements, supply agreements, vendor agreements and other agreements.
Prior to joining Porter Wright, Brian served as in-house counsel for DSW, a Columbus, Ohio-based retailer, where he gained valuable insight and experience providing strategic and business-first advice on an array of matters.
During law school, Brian served as a managing editor of The Ohio State Law Journal.
