Financial Institutions

Financial institutions are not just another service provider to their customers — they finance the hopes and dreams of businesses and families, and provide a sense of security in an uncertain world. Today, financial institutions of all sizes are under constant scrutiny and tremendous regulatory pressure. With frequently changing laws, it’s becoming ever more challenging to meet customer, shareholder and regulatory expectations.

For more than a century, Porter Wright has represented financial institutions, both large and small, in nearly every facet of their business strategy and operation. We have represented some of the largest national and international institutions, and we have worked alongside small, community-based organizations. Over the course of a year, the majority of the attorneys in our firm will have provided services to a financial institution.

We understand not only the unique laws and regulations applicable to financial institutions, but also the business of banking and the practical realities of financial institution operations. Our attorneys regularly:

  • Document commercial loans for financial institutions
  • Assist financial institutions (all sizes and types of troubled loan work outs)
  • Represent financial institutions in mergers, branch sales and other transactions that require regulatory approval
  • Provide counsel on corporate governance and director responsibilities
  • Provide counsel regarding securities filings and other regulatory matters
  • Help institutions buy, sell and lease branch and OREO real estate
  • Counsel institutions regarding the sale of loans, loan portfolios and credit card accounts
  • Counsel institutions on human resource issues and other employment matters
  • Document vendor, supplier and joint venture relationships
  • Help institutions protect their intellectual property rights and trade secrets
  • Counsel financial institutions on the impact of federal and state legislation

Our representation of financial institutions in litigated matters is equally broad. We defend financial institutions in individual and class action litigation, and we routinely prosecute on behalf of financial institutions to protect their rights.
