Mr. Morris is a member of the Corporate department. He has represented public companies, family-owned businesses, and nonprofit organizations for more than 40 years in various negotiated transactions including mergers and acquisitions and hostile takeovers. He advises individual clients in business transactions and tax and estate planning. His legal experience includes representation of the independent directors of a mutual fund in connection with an SEC inquiry; testifying as an expert witness on matters relating to fiduciary duties of directors and officers; and representation of the State of Ohio following the collapse of the Ohio Savings and Loan Guarantee Fund in 1985-1986. Mr. Morris was also retained by the American Bar Association to advise concerning its incorporation as a nonprofit corporation in 1992. Furthermore, as a former Chair and active member of the corporation law committees of the American and Ohio State Bar Associations, he has participated in drafting many provisions of the Model Business and Nonprofit Corporation Acts and the laws governing Ohio corporations.
